Terms & Conditions

Please read these terms and conditions carefully before using Wusool services.

1. Acceptance of Terms

By executing an order form, accessing the "Wusool" platform, or deploying the Wusool Accessibility Widget (the "Service"), you (the "Client") expressly agree to be bound by these Terms & Conditions. If you are entering into this Agreement on behalf of a corporation or other legal entity, you represent that you hold the legal authority to bind such entity to these Terms.

2. License Grant & Restrictions

Subject to your compliance with these Terms and timely payment of all applicable fees, Wusool grants you a limited, non-exclusive, non-transferable, and revocable license to deploy the Wusool Accessibility Widget on your authorized domains. You shall not: (a) reverse engineer, decompile, or disassemble the Service; (b) resell, sublicense, or distribute the Service to third parties; or (c) modify or create derivative works based on Wusool's proprietary algorithms or source code.

3. Scope of Service & No Guarantee of Absolute Compliance

Crucial Disclaimer: Wusool provides advanced, AI-driven digital accessibility tools designed to significantly assist Clients in aligning their websites with the Web Content Accessibility Guidelines (WCAG 2.1 AA/AAA) and applicable laws (such as the ADA). However, digital accessibility is a dynamic, structural, and ongoing process.

Wusool does not warrant or legally guarantee 100% compliance, nor do we guarantee immunity from legal claims, demand letters, or regulatory fines. The ultimate responsibility for ensuring a website is fully accessible and legally compliant remains entirely with the Client. Wusool's tools act as a supplementary remediation layer, not an absolute legal shield.

4. Client Responsibilities

The Client is solely responsible for the correct installation of the Wusool integration snippet. Furthermore, Wusool relies on the structural integrity of the Client's underlying HTML. Wusool shall not be liable for accessibility failures resulting from severely malformed code, inaccessible third-party iframes, or content fundamentally incompatible with DOM-manipulation technologies.

5. Subscription Fees & Payment Terms

Access to the Service requires payment of recurring subscription fees. Fees are billed in advance on a monthly or annual basis and are strictly non-refundable. Failure to remit payment within fourteen (14) days of the invoice due date may result in immediate suspension or termination of the Service, causing the widget to cease functioning on the Client's domains.

6. Intellectual Property Rights

Wusool retains all exclusive rights, title, and interest in and to the Service, including all associated intellectual property rights, trademarks, patents, and proprietary algorithms. The Client retains all rights to their original website content and data.

7. Limitation of Liability & Indemnification

To the maximum extent permitted by applicable law, in no event shall Wusool, its directors, or affiliates be liable for any indirect, incidental, punitive, or consequential damages (including lost profits or legal settlement costs) arising out of or related to the use of the Service.

Liability Cap: Wusool's total aggregate liability under this Agreement, regardless of the form of action, shall be strictly capped at the total amount paid by the Client to Wusool during the twelve (12) months immediately preceding the event giving rise to the claim.

The Client agrees to indemnify, defend, and hold harmless Wusool against any third-party claims, lawsuits, or regulatory actions alleging that the Client's website fails to comply with accessibility laws, despite the use of the Service.

8. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the competent courts in Riyadh.
